10mins Platform Terms for Event Marketplace Operators
1. The parties and the service
This agreement is between Ironbay Innovations Pvt Ltd ("10mins", "we") and the business or person that created the event marketplace ("you", the "Marketplace Operator"). We provide software that lets you run an online marketplace for events, and hosting for it. We are a technology provider.
2. You are the marketplace operator
You, not 10mins, run your marketplace and decide which organisers and events appear on it. As between you and 10mins, you are responsible for: every event and organiser you list or allow; the agreements and policies you publish to your customers and organisers; customer service, complaints and refunds; and compliance with all laws that apply to your business, including the Consumer Protection Act, 2019 and its E-Commerce Rules, 2020, the Information Technology Act, 2000 and its Intermediary Rules, 2021, GST and entertainment-tax rules, and local event-licensing law.
10mins is not the seller, organiser or intermediary of any event, is not a party to any ticket sale, and is not responsible to your customers or organisers.
3. No custody of money
10mins does not receive, hold, pool or pay out your customers' or organisers' money. You connect your own payment method(s). Where you choose the 10mins Payment Gateway, payments are split by the payment provider under a separate agreement. 10mins separately charges you its own fees.
4. Fees
You agree to the fees shown in your panel's Billing section and the fee disclosure on 10mins.co, as updated by notice. These include a commission on the sales your marketplace records, any platform subscription, and optional paid services such as domains and AI features. Fees are invoiced in periods; invoices not paid by the stated date may lead to your marketplace being limited or frozen until paid, in line with the grace period shown. Taxes are extra.
A platform fee may be built into the final price your customers pay. You must not describe your price in a way that is misleading about what the customer will pay.
5. Your policies and records
You must complete the Legal & Policies section of your panel (including your legal name, address, grievance officer and refund rules) and keep it accurate. 10mins' standard clauses in the documents you publish are permanent and may not be removed or overridden. You may add your own protections after them, but nothing you add can reduce or contradict a protection for 10mins. You must not ask customers or organisers to agree to anything that conflicts with those clauses.
We keep electronic records of acceptances made on your marketplace so that you can prove who agreed to what. You remain responsible for acting on that evidence.
6. Organisers and events
Before an organiser lists events, you must make sure they have accepted the Organiser Agreement in the panel and that they hold the permits their events need. You must act promptly on a cancellation or postponement: customers are due a full refund and you must see that it is paid. Do not allow events that are illegal, unsafe, sexually explicit, hateful, fraudulent or that infringe rights.
7. Customer and organiser data
You are the Data Fiduciary for your customers' and organisers' personal data under the Digital Personal Data Protection Act, 2023. 10mins processes it for you under the Data Processing Addendum, which forms part of this agreement.
8. Suspension and takedown
We may suspend or remove any event, organiser or your whole marketplace without prior notice if we reasonably think the law is being broken, people may be harmed, fees are unpaid, or a regulator, court or payment provider requires it. We will tell you why where we lawfully can.
9. Your promises and compensation
You will compensate Ironbay Innovations Pvt Ltd, its directors, staff and affiliates for any claim, loss, penalty or cost arising from your marketplace, its events and organisers, your content and policies, your handling of customer money and refunds, or your breach of this agreement or the law.
10. No warranty; limit of liability
The service is provided as is. We try to keep it available but do not promise it will be uninterrupted or error-free. To the fullest extent the law allows, Ironbay Innovations Pvt Ltd's total liability to you is limited to the fees you paid us in the twelve months before the claim, and we are not liable for lost profits, lost sales, loss of goodwill or indirect loss.
11. Ending
You can stop using the service at any time; fees already due remain payable. We may end it on notice, or at once for breach. On ending we will make your data available for export for a reasonable period, then delete it as the Data Processing Addendum describes, apart from records we must keep by law.
11A. Takedowns, authorities and records
You must act on any lawful takedown request, court order or notice from an authority concerning your marketplace without delay, and remove or disable the content within 36 hours of a binding order. You must give information or assistance that an authority lawfully requires within the time it sets (and no later than 72 hours where the law sets that limit). You must keep the logs and records the law requires for the period it requires. Once a quarter at least you must remind your organisers and customers, in your terms or by notice, not to post unlawful content. You must keep a working complaint channel and a named Grievance Officer who acknowledges complaints within 24 hours and resolves them within 15 days.
11B. Insurance, sanctions and prohibited use
You must hold, or require each organiser to hold, insurance that is reasonable for the events listed. You must not use the service for anything unlawful, for events or persons subject to sanctions, for gambling or adult services, or to sell tickets you do not have the right to sell.
11C. Service providers, location and scope
The service is provided for use in India. It is hosted with third-party cloud, storage, email, SMS and payment providers, some of which are outside India. A current list of our sub-processors is published at the Sub-processors page on the 10mins website. We will update it before adding a new one.
11D. General
Nothing here makes 10mins your partner, agent, employer or joint venturer. No customer, organiser or other person is a beneficiary of this agreement, except that Ironbay Innovations Pvt Ltd's directors, staff and affiliates may enforce the protections given to them. We are not liable for any failure caused by events beyond our reasonable control. You may not assign this agreement without our consent; we may assign it to an affiliate or a successor. Notices may be given by email to the address on your account and by notice in the panel. Clauses that by their nature continue after ending (fees, indemnity, liability, data, law and disputes) survive. This agreement and the Data Processing Addendum are the whole agreement between us on this subject.
12. Law, disputes and courts
Indian law governs this agreement. Any dispute between you and Ironbay Innovations Pvt Ltd will first be discussed in good faith for 30 days after written notice. If it is not resolved it will be referred to a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue is Gorakhpur, Uttar Pradesh, and the language is English. Either party may go to court for urgent interim relief, and the courts at Gorakhpur, Uttar Pradesh have exclusive jurisdiction for that and to enforce an award.
13. Electronic acceptance and changes
You accept electronically, which is a valid contract under the Information Technology Act, 2000. The version, time, device and network address of your acceptance are recorded. We may update these terms by notice; you will be asked to accept the new version, and continued use after notice means acceptance. Contact: contact@10mins.co. Grievance Officer: Pranav Pandey.
